Terms of Use

1. General Provisions

1.1. This Agreement governs the relationship between the Contractor — Budkina Anastasiia, operating through the business incubator Fundacja Rozwoju Przedsiębiorczości "Twój StartUp" (hereinafter referred to as the "Contractor"), and the Client (any individual or legal entity requesting services).
 

1.2. This Agreement becomes effective upon confirmation of project terms and/or order confirmation via email, messaging platforms, website forms, or payment for services.
 

1.3. Ordering services and/or making payment constitutes the Client’s full and unconditional acceptance of the terms of this Agreement (acceptance of the offer).

2. Scope of Services

2.1. The Contractor provides services related to website development, design, branding, UX/UI design, SEO/GEO optimization, business automation, digital products, and other related services listed on the Website or agreed upon individually.
 

2.2. The scope of work, timelines, and pricing are determined individually and confirmed through correspondence, proposals, or order forms.

3. Rights and Obligations of the Parties

3.1. The Contractor agrees to:
 

  • provide services within agreed timelines, subject to timely cooperation from the Client;

  • inform the Client about project progress when necessary;

  • maintain confidentiality of information received during the project.
     

3.2. The Client agrees to:
 

  • provide accurate information, materials, and access required for project execution;

  • respond to requests and participate in approvals in a timely manner;

  • make payments according to agreed terms;

  • refrain from using draft or intermediate materials before full payment has been completed.
     

3.3. If the Client fails to respond for more than 5 business days, the Contractor may suspend the project.
 

If no response is received for more than 14 calendar days, the Contractor may terminate the project without refund of payments already made.
 

3.4. The Contractor may place a "Made by ANA Design Studio" credit with a link to the Contractor’s website on completed websites.
 

Such credit does not affect website functionality and is not considered advertising.
 

Removal or modification of the credit may be agreed separately before the start of the project.

4. Payment

4.1. Payment terms are agreed individually and may include payments through third-party payment providers, including Stripe.
 

4.2. Services may require advance payment, milestone payments, or full payment depending on the project.
 

4.3. Payment processor fees are non-refundable.
 

4.4. Final files, deliverables, and access credentials are transferred only after full payment has been received.
 

4.5. By making payment, the Client expressly agrees to the immediate commencement of service delivery.
 

Due to the nature of digital and customized services, work may begin before the expiration of any statutory withdrawal period that may apply under local law.
 

Once work has commenced, the Client’s right to withdraw from the Agreement and obtain a refund may be limited or excluded in accordance with applicable legislation.
 

4.6. By purchasing a digital product, template, ready-made solution, or other digital content, the Client expressly agrees to receive access before the expiration of any statutory withdrawal period.
 

After access to the digital content has been provided, the right of withdrawal and refund may be lost in accordance with applicable law.

5. Liability

5.1. The Contractor is not responsible for delays caused by the Client’s failure to provide information, materials, approvals, or feedback on time.
 

5.2. Project timelines are automatically extended for the duration of any delays caused by pending approvals, missing materials, or communication delays.
 

5.3. If the Client terminates the project after work has begun, the Contractor may retain payment corresponding to work already completed, expenses incurred, and time spent.
 

Any potential refund will be determined individually based on the stage of project completion.
 

5.4. The Contractor does not guarantee any specific commercial results, including increases in sales, profit, traffic, rankings, leads, or conversions.
 

5.5. The Client is solely responsible for the legality of all content, services, products, pricing information, and business activities presented on the website in accordance with the laws of their jurisdiction.

6. Deliverables and Ownership

6.1. Project deliverables are provided in the formats agreed upon with the Client.
 

6.2. Exclusive rights to the final deliverables are transferred to the Client only after full payment has been received.
 

6.3. Additional revisions requested after project completion may be subject to additional charges.
 

6.4. Ready-made solutions, templates, and digital products may be governed by separate transfer and usage policies published on the Website.

In the event of a conflict between this Agreement and any specific digital product terms, the specific terms shall prevail.

7. Force Majeure

7.1. Neither party shall be liable for failure to perform obligations caused by circumstances beyond reasonable control, including natural disasters, infrastructure failures, government actions, armed conflicts, or other force majeure events.

8. Confidentiality

8.1. All materials and information provided by the Client will be used solely for the purpose of performing the agreed services and will not be disclosed to third parties except where necessary for project execution or required by law.

9. Miscellaneous

9.1. Any disputes arising from this Agreement shall first be resolved through negotiations between the parties.
 

9.2. If an agreement cannot be reached, disputes shall be governed by the laws of the Republic of Poland.
 

9.3. This Agreement may be concluded electronically through website forms, email correspondence, messaging platforms, order confirmations, or payment and shall have full legal effect.

10. Use of Contractors and Third Parties

10.1. The Contractor may engage third-party specialists to perform specific project tasks, including software development, advertising, illustration, translation, and other specialized services.
 

10.2. The Client may be informed if external contractors are involved in the project and such involvement affects project workflow.
 

10.3. The Contractor coordinates the work of subcontractors but is not directly liable for services provided under separate agreements between the Client and such third parties.
 

10.4. Services provided by external specialists may be governed by separate agreements where applicable.

11. Consultations and Audits

11.1. Consultations, website audits, SEO/GEO reviews, and strategic recommendations are provided based on information available at the time of the request.
 

11.2. Consultations and audits are advisory in nature and do not constitute guarantees of specific commercial, marketing, or search performance outcomes.
 

11.3. The Client remains solely responsible for implementing any recommendations provided.
